Important: These Terms & Conditions (the “Terms”) constitute a legally binding agreement between the individual purchasing a membership (the “Member,” “you,” or “your”) and New Mercies Massage, LLC (the “Studio,” “we,” “us,” or “our”). By enrolling in any membership, scheduling services as a Member, or allowing charges to your payment method, you acknowledge that you have read, understood, and agree to be bound by these Terms. To the maximum extent permitted by law, these Terms limit remedies and include a waiver of liability and mandatory dispute resolution.
1. Definitions
Session: A hands-on massage appointment of the duration associated with the selected membership plan.
Credit: A member entitlement equivalent to one Session of a specific duration (60, 90, or 120 minutes). Credits have no cash value and are non-refundable.
Rollover Credit: An unused Credit that carries forward for a limited time under the rollover policy below.
Billing Date: The calendar day on which recurring membership fees are charged each month. Unless otherwise stated in writing, this is the day of initial enrollment each month.
Calendar Quarter: Jan–Mar, Apr–Jun, Jul–Sep, and Oct–Dec.
2. Membership Plans & Pricing (Monthly)
Relax (1x/month)
60 minutes: $75 (1 Credit/month)
90 minutes: $110 (1 Credit/month)
120 minutes: $170 (1 Credit/month)
Restore (2x/month)
60 minutes: $140 (2 Credits/month)
90 minutes: $215 (2 Credits/month)
120 minutes: $330 (2 Credits/month)
Elite (4x/month)
60 minutes: $260 (4 Credits/month)
90 minutes: $420 (4 Credits/month)
120 minutes: $660 (4 Credits/month)
Prices are subject to change upon 30 days’ advance notice (see Section 18).
3. Term, Commitment & Automatic Renewal
Minimum Commitment: Memberships require a minimum term of three (3) consecutive months.
Auto-Renewal: After enrollment, memberships renew automatically month-to-month until canceled in accordance with these Terms.
Early Termination: If you cancel before completing the minimum commitment, you agree to an early termination fee equal to the remaining months of the minimum term at your current monthly rate, unless otherwise required by law.
Start/Proration: Your first month may be prorated at our discretion; subsequent months are billed on the Billing Date.
4. Billing, Payment Authorization & Failed Payments
You authorize the Studio to store and automatically charge your payment method for monthly membership fees, taxes (if applicable), add-ons, late/no-show fees, upgrades, and any other authorized charges.
If a payment is declined, we may attempt reprocessing and will notify you to update your payment method.
If not resolved within 5 days, your ability to schedule or use Credits may be suspended.
If not resolved within 14 days, the Studio may cancel your membership for nonpayment; any unused or expired Credits may be forfeited.
A late payment/collection fee and reasonable chargeback/NSF fees may be assessed where permitted by law.
5. Scheduling, Late Arrivals, Cancellations & No‑Shows
Scheduling: Sessions are by appointment and subject to therapist availability. Booking in advance is recommended.
Arrival: Please arrive 5–10 minutes early; late arrivals may receive the remainder of the scheduled time without price adjustment.
Rescheduling/Cancellation Window: 24 hours’ notice is required to cancel or reschedule a Session without penalty.
Late Cancellation/No‑Show: With less than 24 hours’ notice or failure to appear, one (1) Credit will be forfeited. If you have no Credits available, you authorize a charge equal to the standard session rate for the duration booked.
We reserve the right to waive or enforce these fees in our sole discretion.
6. Credit Use, Expiration & Rollover
Relax (1x/month): No rollover. Unused Credits expire at the end of each monthly cycle.
Restore (2x/month) & Elite (4x/month): Unused Credits may roll over and must be used within 60 days of the Billing Date on which they were issued; after 60 days, they expire and are forfeited.
Credits are not convertible to other durations, cash, retail products, or gratuities. Upgrades may be available (see Section 8).
Blackout dates/closures: If the Studio is closed for holidays or unforeseen events, expiration may be extended at our discretion.
7. Transfers, Guests & Substitutions
You may designate one guest to use one scheduled Session in your place once per calendar quarter (non‑cumulative).
You remain financially responsible for any charges associated with the substituted appointment.
Credits otherwise are non‑transferable and may not be sold or bartered.
8. Upgrades, Add‑Ons & Downgrades
Upgrades (e.g., from 60 to 90 minutes) are subject to paying the difference between the member rate for your plan and the upgraded Session.
Add‑ons (e.g., enhancements) are billed at current member rates.
Downgrades to a lower tier or shorter duration take effect on the next Billing Date with written notice at least 30 days in advance.
9. Freezes & Holds
Membership freezes/holds are not permitted except at the Studio’s sole discretion for medical or travel reasons with supporting documentation. Approved freezes pause billing and extend the minimum term by the length of the freeze.
10. Refunds, Chargebacks & Store Credit
All sales are final. No refunds on membership fees, unused/expired Credits, or missed/late‑canceled Sessions, to the maximum extent permitted by law.
You agree not to initiate a chargeback without first emailing us to attempt resolution; unjustified chargebacks may incur an administrative fee and recovery of costs where permitted by law.
11. Health, Safety & Professional Boundaries
Massage therapy may be contraindicated for certain conditions. You agree to disclose relevant health information and notify us of changes. We may decline or modify services for safety.
Draping is required; sexual, suggestive, or inappropriate behavior is not tolerated and may result in immediate termination of the Session and membership without refund.
Do not attend under the influence of alcohol or drugs. If you are ill (fever, contagious symptoms), we may reschedule at our discretion.
Massage is not a substitute for medical care and no specific outcomes are guaranteed.
12. Minors [If Applicable]
Services for minors are provided only with parent/guardian consent; the guardian must remain on premises. Minimum ages and service types may be limited at our discretion.
13. Privacy
We collect and store necessary personal and health information to provide services and manage your membership. We do not sell personal data. See our Privacy Policy (if any) for details.
14. Property, Damages & Lost Items
We are not responsible for lost or stolen items. You are responsible for damage to Studio property resulting from your negligence or misuse.
15. Waiver of Liability & Informed Consent
You acknowledge the inherent risks associated with massage therapy and voluntarily assume those risks. To the maximum extent permitted by law, you release and hold harmless the Studio and its staff from claims arising out of participation in services, except for gross negligence or willful misconduct.
16. Right to Refuse Service & Termination by Studio
We may refuse service or terminate a membership at any time for violation of these Terms, nonpayment, safety concerns, or at our discretion. If terminated without cause, we may, at our discretion, convert any remaining unused Credits to store credit; otherwise no refunds apply.
17. Changes to Services, Hours & Availability
Services, staff assignments, hours of operation, and appointment availability may change without notice. We will make reasonable efforts to communicate material changes.
18. Changes to Terms & Pricing
We may update these Terms or adjust pricing by providing at least 30 days’ advance notice by email and/or posting the updated Terms at the Studio or online. Continued membership after the effective date constitutes acceptance.
19. Dispute Resolution; Governing Law
Governing Law: These Terms are governed by the laws of the State of South Carolina, without regard to conflict‑of‑law rules.
Good‑Faith Resolution: You agree to first attempt to resolve disputes informally by emailing us within 30 days of the event giving rise to the dispute.
Arbitration: If not resolved, disputes (other than claims within small‑claims jurisdiction) shall be resolved by binding arbitration in Greenville, South Carolina under the rules of the American Arbitration Association. Each party bears its own fees unless the arbitrator awards otherwise. Class actions are waived.
Nothing precludes either party from seeking injunctive relief or filing in small claims court where appropriate.
20. Miscellaneous
Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
No Waiver: Failure to enforce a provision does not constitute a waiver.
Assignment: You may not assign your membership; we may assign these Terms to a successor entity.
Entire Agreement: These Terms, together with any signed intake/consent forms and posted policies, constitute the entire agreement regarding membership and supersede prior communications.
Electronic Signatures: You consent to transact electronically and agree that electronic signatures and records are valid and enforceable.
